China Resources was incorporated as Magenta Corp. in January 1986, in the State of Nevada, USA.
CNRI was incorporated in the British Virgin Islands.
The former shareholders of CNRI acquired 90% of the China Resources' stock, and CNRI became a wholly owned subsidiary of China Resources.
China Resources merged with and into CNRI (the 'Re-domicile Merger'). Prior to the Re-domicile Merger, the company's common shares were traded on the Nasdaq Capital market under the symbol 'CHRB'. Following the Re-domicile Merger, the trading symbol was changed to 'CHNR'.
CHNR acquired Feishang Mining Holdings Limited from Feishang Group Limited, which beneficially owns 100% of Wuhu Feishang Mining Holdings Limited. Subsequently, the company disposed of its former businesses to focus on the newly developed non-ferrous metal mining business.
Through its subsidiary and 48% associate, CHNR acquired the exploration rights at 13 non-ferrous mines in China, namely 12 mines in Hainan Province and the Si Chong Gold-Silver-Lead-Zinc Mine in Anhui Province.
The Group furthered its expansion in non-ferrous business in China and acquired the interest in Jinshizhang Mine in Guangdong Province through its 45% associate, which will produce nonferrous metals including silver, lead, zinc and copper.
CHNR acquired Mark Faith Technology Development Limited and its wholly-owned subsidiary Feishang Copper Company Limited, which is engaged in the smelting and refining of copper for distribution in China from its facilities in Inner Mongolia as a strategic move to venture into downstream smelting business.
CHNR entered into an agreement to purchase Pineboom Investments Limited and its subsidiaries from Feishang Group Limited. Upon completion of the acquisition, CHNR will be entitled to the exploration right to Huajue Jingtian North Sector Coal Mine in Guizhou Province. The acquisition is expected to complete in 2009.
